These Terms and Conditions ("Terms") govern your access to and use of the Taurus website, the Taurus applications for iPadOS and macOS, and any related software, features, content, services, documentation, and support services collectively referred to as the "Services."

The Services are provided by Coyotiv GmbH, located at c/o Factory Works GmbH, Rheinsberger Straße 76/77, 10115 Berlin, Germany ("Taurus," "we," "us," or "our").

By downloading, installing, accessing, purchasing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not download, install, access, or use the Services.

1. About Taurus

Taurus is a virtual audio-effects pedalboard designed for musicians, guitarists, producers, and other audio users.

The Services may allow users to:

  • Process instrument or other audio signals in real time;
  • Create and arrange chains of audio effects;
  • Adjust audio-effect settings and parameters;
  • Save, load, import, or export presets and configurations;
  • Host compatible third-party Audio Unit plug-ins;
  • Use audio-processing features on supported iPadOS and macOS devices; and
  • Access related documentation, updates, support, and website content.

Available features may vary depending on the user's device, operating system, purchased version, subscription level, geographic location, and installed third-party software.

2. Eligibility

You must be legally capable of entering into a binding contract to use the Services.

If you are below the age of legal majority in your country or region, you may use the Services only with the involvement and supervision of a parent or legal guardian. The parent or legal guardian is responsible for the minor's use of the Services.

You may not use the Services if:

  1. You are prohibited from receiving or using the Services under applicable law;
  2. Your use would violate applicable export-control, sanctions, or trade-restriction laws; or
  3. We have previously suspended or terminated your access for a material violation of these Terms.

3. Agreement With Apple

Where you download or purchase a Taurus application through Apple's App Store, these Terms are entered into between you and Taurus, not Apple Inc. or any of its subsidiaries.

Taurus, and not Apple, is solely responsible for the Taurus application and its content, subject to these Terms.

Apple is not responsible for providing maintenance or support for the Services except where Apple is required to do so under applicable law.

Your use of the Taurus application must also comply with the applicable Apple Media Services Terms and Conditions, App Store Usage Rules, and any other terms imposed by Apple.

4. License to Use the Services

Subject to your continued compliance with these Terms, Taurus grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to download, install, access, and use the Services for lawful personal or professional music and audio-production purposes.

For applications obtained through Apple's App Store, this license is limited to use on Apple-branded devices that you own or control, as permitted by Apple's applicable usage rules. The application may also be accessed through Family Sharing or similar Apple features where Apple permits such access.

This license does not transfer ownership of the Services or any related intellectual-property rights to you.

5. Permitted Professional Use

You may use Taurus to process audio for personal and commercial creative work, including musical recordings, performances, rehearsals, broadcasts, and audio productions, provided that:

  1. You have all necessary rights and permissions relating to the audio, compositions, recordings, plug-ins, and other materials you use;
  2. Your use complies with applicable laws and third-party license terms; and
  3. You do not redistribute, resell, sublicense, or commercially exploit Taurus itself except as expressly permitted in writing by us.

Unless otherwise stated, Taurus does not claim ownership of music, recordings, performances, or other original output created by you through lawful use of the Services.

6. No Taurus Account

Taurus does not require you to create a Taurus account, and we do not operate a login system or store account credentials.

Purchases and optional iCloud sync rely on your Apple Account, which is created, managed, and secured through Apple and governed by Apple's terms. You are responsible for keeping your Apple Account secure and for activity that occurs through it, except where applicable law provides otherwise.

7. Audio Processing and Equipment Safety

Real-time audio processing depends on many factors outside our control, including your device, operating system, audio interface, cables, drivers, sample rate, buffer settings, connected equipment, third-party plug-ins, and signal levels.

You are responsible for setting and monitoring safe audio levels.

High output levels, feedback, sudden volume changes, or improper signal routing may cause hearing damage or damage to speakers, headphones, amplifiers, instruments, audio interfaces, or other equipment. Reduce volume levels before connecting equipment, loading presets, changing signal chains, or enabling effects.

Taurus is not designed for emergency, safety-critical, medical, or life-support use.

8. Third-Party Audio Units and Plug-ins

Taurus may allow you to host or interact with third-party Audio Unit plug-ins or other third-party software.

Third-party plug-ins are provided and licensed by their respective developers. They are not owned, controlled, endorsed, or warranted by Taurus unless expressly stated otherwise.

You are responsible for:

  1. Obtaining valid licenses for third-party plug-ins;
  2. Complying with the plug-in developer's terms;
  3. Confirming device, operating-system, architecture, format, and version compatibility;
  4. Installing, updating, configuring, and maintaining third-party plug-ins;
  5. Backing up presets or data associated with those plug-ins; and
  6. Resolving licensing or activation issues directly with the relevant third-party provider.

We do not guarantee that any third-party plug-in will be available, compatible, stable, secure, or fully functional with Taurus.

Updates to Taurus, Apple operating systems, hardware, or third-party plug-ins may affect compatibility. A third-party plug-in may crash, become unavailable, produce unexpected audio, introduce latency, or cause Taurus to operate incorrectly.

To the extent permitted by law, Taurus is not responsible for acts, omissions, errors, content, security issues, performance problems, or discontinuation of third-party plug-ins.

9. User Content and Presets

"User Content" means presets, effect-chain configurations, parameter settings, names, descriptions, files, feedback, audio files, or other materials that you create, import, upload, store, transmit, or otherwise use through the Services.

You retain ownership of your User Content.

You represent and warrant that:

  1. You own your User Content or have all necessary licenses and permissions to use it;
  2. Your User Content does not infringe intellectual-property, privacy, publicity, contractual, or other rights;
  3. Your User Content does not contain unlawful or malicious material; and
  4. Our permitted processing of your User Content will not violate applicable law.

Where storing, synchronizing, transmitting, or sharing User Content is necessary to provide a feature you choose to use, you grant Taurus a limited, worldwide, non-exclusive, royalty-free license to host, copy, transmit, format, and process that User Content solely for operating and improving the relevant feature.

This license ends when the relevant User Content is deleted from our systems, subject to reasonable backup periods, legal-retention obligations, and technical limitations.

10. Backups and Loss of Data

You are responsible for maintaining independent backups of presets, effect chains, recordings, configurations, third-party plug-in data, and other important files.

Software updates, device failures, operating-system changes, synchronization errors, application deletion, storage corruption, or third-party plug-in changes may result in data loss.

Although we may provide storage, synchronization, import, or export features, we do not guarantee that any data will always remain available, recoverable, complete, or free from corruption.

11. Acceptable Use

You may not:

  1. Copy, modify, adapt, translate, or create derivative works from the Services except where expressly permitted by law;
  2. Reverse engineer, decompile, disassemble, or attempt to extract source code, except to the limited extent such restrictions are prohibited by applicable law;
  3. Circumvent licensing, access-control, purchase, subscription, copy-protection, or security mechanisms;
  4. Redistribute, rent, lease, sell, sublicense, or commercially provide the Services to another person;
  5. Remove or alter copyright, trademark, attribution, or proprietary notices;
  6. Use the Services to violate copyright, music-licensing, privacy, data-protection, export-control, or other laws;
  7. Upload, introduce, or distribute malware or harmful code;
  8. Interfere with the operation, security, performance, or availability of the Services;
  9. Gain or attempt to gain unauthorized access to accounts, systems, networks, or data;
  10. Use automated systems to scrape, probe, overload, or extract information from the Services without authorization;
  11. Use the Services to create, distribute, or facilitate unlawful, abusive, fraudulent, or harmful material;
  12. Misrepresent your relationship with Taurus; or
  13. Use Taurus branding, trademarks, or product names in a way that suggests sponsorship or endorsement without permission.

12. Purchases, Subscriptions, and In-App Purchases

Some Services or features may require a one-time purchase, recurring subscription, or in-app purchase.

Prices, billing periods, included features, trial conditions, and renewal terms will be presented before purchase.

Purchases made through Apple are processed by Apple and are subject to Apple's payment, billing, cancellation, and refund terms. Taurus does not receive or control your complete payment-card information for transactions processed exclusively by Apple.

12.1 Subscriptions

Where recurring subscriptions are offered:

  • Payment will be charged to your Apple ID account or other disclosed payment method;
  • Subscriptions may renew automatically unless cancelled before the renewal deadline displayed by the applicable store;
  • Renewal may be charged within the period specified by Apple before the end of the current subscription term;
  • You can manage or cancel an Apple subscription through your Apple account settings; and
  • Deleting the application does not automatically cancel a subscription.

Unless required by law or the applicable store's rules, fees already paid are non-refundable and no partial refunds or credits are provided for unused subscription periods.

12.2 Free Trial

Taurus offers a limited-time free trial that provides full access to the app for a set period (currently seven days).

The free trial is free of charge, does not require an active payment, does not renew automatically, and does not convert into a paid purchase or subscription. No payment is taken when the trial ends.

When the trial period ends, continued access to paid features requires you to actively choose and purchase a paid option — either a one-time purchase (which grants a permanent, non-renewing license) or an auto-renewing subscription. Nothing is billed unless and until you make that choice.

Eligibility for the free trial may be limited, and we may modify or withdraw the trial offer where permitted by law.

12.3 Price Changes

We may change prices or subscription plans. Any price change will apply as permitted by the applicable app store and will be communicated where required by law.

13. Updates and Changes to the Services

We may provide updates, upgrades, patches, bug fixes, compatibility changes, security updates, or new versions.

We may add, modify, suspend, or discontinue features where reasonably necessary for:

  • Security or legal compliance;
  • Technical or compatibility reasons;
  • Product development;
  • Third-party service changes;
  • Commercial reasons; or
  • Prevention of misuse.

An update may be required to continue using some features.

We do not guarantee continued compatibility with every device, operating-system version, audio interface, plug-in, file format, or third-party service.

Nothing in this section limits rights you may have under mandatory consumer-protection law.

14. Beta and Experimental Features

We may make preview, beta, early-access, or experimental features available.

Such features may be incomplete, unstable, changed substantially, or withdrawn without notice. They may contain errors or cause crashes, audio artifacts, unexpected behavior, increased battery use, or data loss.

You should not rely on beta features for critical recordings, performances, or production environments.

Additional terms may apply to beta features.

15. Intellectual Property

The Services, including their software, source code, object code, design, interface, graphics, text, documentation, trademarks, logos, sounds supplied by us, and other content, are owned by Taurus or its licensors and are protected by intellectual-property laws.

Except for the limited license expressly granted under these Terms, no right, title, or interest in the Services is granted to you.

"Taurus," its associated logos, and related product names are trademarks or trade names of Coyotiv GmbH. You may not use them without prior written permission.

Third-party names, trademarks, plug-ins, and products remain the property of their respective owners.

16. Feedback

You may provide suggestions, bug reports, feature requests, or other feedback.

You grant us a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, and royalty-free right to use, reproduce, modify, publish, and otherwise use that feedback for any lawful purpose without compensation or attribution.

This section does not transfer ownership of your music, recordings, or other creative work to us.

17. Privacy

Our collection and use of personal data are described in the Taurus Privacy Policy, available at:

The Privacy Policy forms part of your relationship with us but does not reduce any rights provided by applicable data-protection law.

Where third-party services are used, those providers may process data under their own terms and privacy policies.

18. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, services, stores, cloud providers, support systems, or software.

We do not control third-party services and are not responsible for their availability, content, security, data practices, or terms.

Your use of a third-party service is governed by your agreement with that third party.

19. Maintenance and Support

Taurus is responsible for maintenance and support for the Services only to the extent described in these Terms or required by applicable law.

Apple has no obligation to provide maintenance or support for the Taurus applications.

We do not guarantee that every support request will result in a fix, feature change, compatibility update, or restoration of data.

20. Availability

We aim to provide reliable Services, but we do not guarantee uninterrupted or error-free availability.

The Services may be unavailable because of maintenance, technical failures, security incidents, network problems, app-store issues, third-party services, operating-system changes, or events outside our reasonable control.

Real-time audio performance may vary between devices and configurations.

21. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Taurus disclaims all express, implied, and statutory warranties, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and compatibility.

We do not warrant that:

  1. The Services will meet every professional or technical requirement;
  2. The Services will be uninterrupted, secure, error-free, or free from harmful components;
  3. Every Audio Unit or third-party plug-in will operate correctly;
  4. Audio will be free from latency, distortion, artifacts, interruption, feedback, or signal loss;
  5. Presets or other data will never be lost or corrupted;
  6. Defects will always be corrected; or
  7. The Services will remain compatible with future devices, operating systems, or third-party software.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent legally permitted.

22. Apple Warranty Provision

Where the Taurus application fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price paid for the application, if any, as required under Apple's applicable terms.

To the maximum extent permitted by law, Apple has no other warranty obligation regarding the Taurus application.

Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to an applicable warranty are the responsibility of Taurus, subject to these Terms and applicable law.

23. Limitation of Liability

To the maximum extent permitted by law, Taurus and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages.

This includes loss of profits, revenue, business opportunities, goodwill, anticipated savings, recordings, presets, configurations, data, equipment use, or performance opportunities, even if we were advised that such damage was possible.

To the maximum extent permitted by law, our total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of:

  1. The amount you paid directly for the affected Service during the twelve months before the event giving rise to the claim; or
  2. EUR 100.

The limitations in this section do not apply to liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, intentional misconduct, or death or personal injury caused by negligence where applicable law prohibits limitation.

Mandatory consumer rights remain unaffected.

24. Product Claims

Taurus, and not Apple, is responsible for addressing claims relating to the Taurus application or your possession and use of it.

Such claims may include:

  • Product-liability claims;
  • Claims that the application fails to meet applicable legal or regulatory requirements; and
  • Claims arising under consumer-protection, privacy, or similar legislation.

Our responsibility remains subject to these Terms and applicable law.

25. Intellectual-Property Claims

If a third party claims that the Taurus application or your permitted use of it infringes that party's intellectual-property rights, Taurus, and not Apple, will be responsible for investigating, defending, settling, and resolving the claim to the extent required by applicable law.

You must promptly notify us of such a claim and provide reasonable cooperation.

26. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Taurus and its directors, officers, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, and reasonable legal costs arising from:

  1. Your unlawful use of the Services;
  2. Your material breach of these Terms;
  3. Your infringement of another person's rights;
  4. User Content you provide;
  5. Your use or distribution of audio without required rights or licenses; or
  6. Your violation of third-party plug-in or software terms.

This section does not require a consumer to indemnify Taurus where such an obligation would be prohibited or unfair under applicable law.

27. Suspension and Termination

You may stop using the Services at any time. You may delete the application from your devices, but deleting it does not automatically cancel an active subscription.

We may suspend or terminate your access where reasonably necessary because:

  • You materially or repeatedly violate these Terms;
  • Your use creates a security, legal, or technical risk;
  • We are required to do so by law or a competent authority;
  • Payment is overdue or reversed; or
  • We discontinue the relevant Service.

Where reasonable and legally permitted, we will provide notice and an opportunity to correct a violation before termination.

Following termination, your license to use the Services ends. Sections intended by their nature to survive termination will remain effective, including sections concerning intellectual property, disclaimers, liability, indemnification, dispute resolution, and general legal terms.

28. Export Control and Sanctions Compliance

You represent that:

  1. You are not located in a country or region subject to a comprehensive government embargo that prohibits your use of the Services;
  2. You are not listed on a government restricted-party or prohibited-party list; and
  3. You will not use, export, re-export, transfer, or release the Services in violation of applicable export-control, sanctions, or trade laws.

29. Consumer Rights

Nothing in these Terms excludes, restricts, or modifies a right or remedy that cannot lawfully be excluded, restricted, or modified.

Consumers in the European Economic Area, United Kingdom, and other jurisdictions may have mandatory rights concerning digital content, conformity, remedies, cancellation, and unfair contract terms.

Where these Terms conflict with mandatory consumer law, the mandatory law takes precedence.

30. Governing Law

These Terms are governed by the laws of Germany, excluding its conflict-of-law rules.

If you are a consumer, this choice of law does not deprive you of mandatory protections provided by the laws of your country of residence.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

31. Dispute Resolution and Jurisdiction

Before starting formal legal proceedings, you and Taurus agree to make a reasonable attempt to resolve the dispute by contacting the other party and describing the issue and requested resolution.

Disputes that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of Berlin, Germany, except where mandatory consumer law permits you to bring proceedings in the courts of your place of residence.

Nothing in these Terms prevents either party from seeking urgent injunctive or protective relief where legally available.

32. Changes to These Terms

We may update these Terms to reflect:

  • Changes to the Services;
  • New features or business practices;
  • Changes in law or regulatory guidance;
  • Security or technical developments; or
  • Clarifications and corrections.

The updated Terms will be posted on our website with a revised "Last updated" date.

Where a change materially affects your rights, we will provide additional notice where reasonably possible or legally required.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, except where applicable law requires another form of consent.

33. Apple as Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your license and use of a Taurus application obtained through Apple's App Store.

After you accept these Terms, Apple will have the right to enforce the relevant App Store provisions against you as a third-party beneficiary.

34. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms as part of a merger, acquisition, corporate restructuring, sale of assets, or transfer of the Services, provided that your mandatory legal rights are not reduced.

35. Severability

If a provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent legally permitted.

The remaining provisions will remain in effect.

36. No Waiver

A failure or delay in enforcing a provision of these Terms does not waive the right to enforce it later.

A waiver is effective only if made in writing by an authorized representative.

37. Entire Agreement

These Terms, the Privacy Policy, any purchase terms displayed at checkout, and any additional terms presented for a specific feature form the entire agreement between you and Taurus regarding the Services.

They replace prior agreements, communications, and representations concerning the same subject matter.

38. Language

These Terms may be translated for convenience.

Where legally permitted and where translations conflict, the English version will control. This provision does not limit rights provided by mandatory local law.
